Wildflower Payments Addendum
Effective October 23, 2026
This addendum adds to the Wildflower Terms of Service for organizations that enroll in Wildflower Payments. It controls Payments matters if it conflicts with the Terms. The person who enrolls confirms they're authorized to accept it for the business.
1. What Payments does
Payments lets your business collect invoice payments from customers by card or bank account, hold funds in a Payments wallet, pay other businesses (such as partners, and contractors who work as their own businesses), pay bills from other Wildflower organizations, and withdraw to your business's bank account.
2. Who does what
Moov Financial, Inc. ("Moov") and its financial-institution partners provide the payment services under the Moov Platform Agreement you accept during setup. Your Moov balance records your business's position, with funds held by a financial-institution partner in a pooled holding account. Spokes provides Wildflower and submits your authorized instructions to Moov using Spokes' provider credentials. Spokes makes no promises for Moov. Spokes may hold, refuse or pause an instruction when the law or Moov requires it, to prevent fraud or loss, or as the Terms allow while a Wildflower bill is unpaid, and it tells you why when it can. An unpaid Wildflower bill doesn't by itself prevent withdrawing available funds, receiving earned payouts, refunds, or completing payments already submitted. Restrictions the law or Moov requires still apply.
3. Who can move money
Your organization's owners decide, through Wildflower roles, who can collect, pay, refund, withdraw and manage payment methods, and you're responsible for the people you give these roles. Business users must complete the required recent second-factor authentication when authorizing payments or refunds or changing payout destinations. Customer API keys can't authorize these actions. Spokes' systems submit previously authorized instructions using provider credentials. Your customers paying an invoice by link don't need a Wildflower account: each authorizes their own payment on the payment page.
4. Fees
- Transaction fees are charged and collected under the Moov fee plan
your owner sees and accepts during enrollment. Wildflower subscription charges are billed separately under the Terms.
- The schedule says which business pays each fee and how it's taken. The
business receiving a customer payment pays its processing fee, taken from that payment. A business sending money pays any sending fee, taken from its wallet. Paying a bill from your wallet is free.
- The schedule also lists the fees for failed payments, refunds, returns
and disputes. Spokes won't take a card dispute to network arbitration without your approval. If you approve, you pay the arbitration fee, which we tell you first.
- Spokes' own costs of running your account (wallet, card program, PCI
and business verification) aren't charged to you.
- Spokes may change the fee schedule by telling you at least 30 days
before the change starts. A change applies only to payments started after that date, and applies unless you leave Payments before then. A change also remains subject to any acceptance or provider approval the applicable arrangement or law requires.
5. Timing, limits and reserves
Money you receive becomes available when it has settled and no hold, reserve or other restriction from Moov or Spokes applies to it. Settlement time depends on the payment type. By default your business can send others up to $5,000 per payment and $10,000 per day; withdrawals to your own bank, incoming money and refunds don't count. Moov may delay funds, keep a reserve or restrict funds under its terms, and Spokes tells you when it knows.
An authorization for an individual Payments transaction expires after one hour if it hasn't been submitted to Moov. You may cancel it before submission. After submission, whether it can be canceled depends on the payment type and Moov's rules. After Moov confirms in writing that it never received an instruction, Spokes may close the attempt and release its internal reservation; that action doesn't start a payment or refund. Your continuing authorization for Wildflower bills is separate.
6. Who Payments pays
Payments sends money only to businesses, including sole proprietors, each with its own Moov business account. Before Payments sends money, it checks where the money will land. That must be one of:
- a bank account Moov marks verified, with a business holder type and a
holder name matching the recipient's legal name recorded at Moov;
- a debit or prepaid card linked to the recipient's Moov account that
Moov lists as eligible for push-to-card payouts;
- the business's own Payments wallet.
These destination checks do not by themselves verify the business's identity or prove legal ownership of the destination. Paying a worker's business through Payments doesn't decide whether that worker is your employee or a contractor: you're responsible for classifying the people who work for you. Don't use Payments to pay wages, employee reimbursements or other employee pay, or to avoid payroll, withholding or wage obligations. You're also responsible for paying the right business and for the work behind each payment being lawful.
Payments not tied to a job or bill. When you send money to another business outside a job or a bill, you choose what it's for and describe it, with a reference if you have one:
- services that business provided you, or a service period;
- an actual carrier or transportation bill;
- a commercial equipment or vehicle rental;
- goods or supplies you bought;
- reimbursement of costs owed under your commercial arrangement with that
business, with support for the expense;
- returning an overpayment your business previously received from the
recipient business, linked to that original payment.
Each payment must settle an amount your business itself owes the recipient. You can't use it for gifts, loans or advances not tied to work, capital contributions, wages, moving money to your own accounts (use a withdrawal), or collecting and passing on other people's money. Refunds to your customers use the refund on their original payment. Keep records supporting each payment; we may ask for them.
7. Returns, disputes and negative balances
Some money can be taken back after it arrives: a customer's bank can return a bank payment, a cardholder can dispute a card payment, sometimes months later, and you can refund a payment. Those amounts and their fees are taken from your wallet. They're separate from the payments you send, which only your authorized people approve. If your wallet doesn't cover them, its balance goes below zero. New payments your business starts are paused, except corrections and amounts Moov lawfully deducts. Your business must cover the shortfall promptly, and Spokes may lower your limits. Moov may also recover a shortfall from the bank account linked to your Payments account, as Moov's terms allow.
8. Taxes and tax forms
Spokes and Moov each do the tax reporting and withholding required of them. Your business remains responsible for its taxes and for any reporting or withholding that applies to payments it makes. We may ask for tax information needed to meet these requirements. Nothing in this addendum transfers or waives an obligation the law imposes.
9. Security, errors and losses
Spokes maintains reasonable administrative, technical and physical safeguards appropriate to the service and the information and payment instructions it handles. Tell us at [email protected] as soon as you see an error.
- Spokes is responsible for direct losses to the extent caused by its
failure to carry out an authorized payment instruction correctly, or by its breach of these obligations or negligence in securing or operating Wildflower.
- Your business is responsible for losses caused by incorrect
instructions, unauthorized conduct by people you authorize, or failure to protect systems and credentials within your control, except to the extent Spokes' own failure contributed.
- When both contributed, responsibility is shared in proportion. A
successful sign-in alone doesn't settle who was at fault.
- Spokes works promptly with Moov to recover or correct an affected
payment. To the extent Spokes is responsible, it restores the unrecovered payment amount and reasonable direct correction charges. That restoration is outside the damages caps in the Terms; other claims are subject to those caps and their exceptions.
- If Moov or a bank fails on its own, Spokes helps you pursue it under its
agreement but doesn't guarantee its performance, and stays responsible for any failure of its own that contributed.
- Recoveries can't exceed the actual loss, and nothing limits rights the
law makes nonwaivable.
10. Pausing Payments
Spokes or Moov may pause Payments for your business when the law or Moov requires it, to prevent fraud or loss, or when the business doesn't meet this addendum or Moov's terms. Spokes tells you why when it's allowed to, and what you can still do. You can still see your history and withdraw available funds unless the law or Moov prevents it. If Moov's services to Spokes end, Moov's wind-down terms govern access to funds, and Spokes tells you how to reach them.
11. Leaving Payments
- Your subscription. You can cancel in Payments settings. Payments ends at the end of that month, or at a price change's renewal if you stop it from that notice. It keeps working until then and isn't billed after it ends.
- Activity. From the end date, no new collections, funding, payouts or sends start, except funding to cover a negative balance. Payments already sent finish, fail, or are canceled where allowed. Money that arrives later lands in your wallet, and we tell you.
- Your funds. An owner can withdraw available funds by standard bank transfer to a verified bank account the business owns. Reserved, pending or restricted funds become available when they're released. If a withdrawal fails or the account is closed, support helps you verify another business account. Returns, disputes and refunds can still come later; your business stays responsible for them, and a negative balance must be covered. You can still add funds from your bank to cover one.
- Fees during wind-down. Transaction fees during wind-down are set under section 4. Fees tied to an earlier payment follow the schedule that applied when that payment started; a new withdrawal follows the schedule that applies when it starts. Spokes' own costs of keeping your account open stay with Spokes.
- Your records and access. For at least 120 days after the last money moves, you can still withdraw, refund, respond to disputes, receive notices, get support and see your history in Wildflower.
- Final closing. After that, once the balance is zero and nothing is pending, Spokes closes the Payments account at Moov. Moov's reserves and records then follow Moov's terms.
- We confirm a cancellation by email, with the end date, anything still pending, how to withdraw, and anything still owed.
12. Support
Email [email protected] for Wildflower and your Payments account. Spokes contacts Moov for you when needed.
13. Changes
Spokes may change this addendum with at least 30 days' notice. A change the law requires may take effect sooner, but a fee increase always gets the full 30 days' notice and applies only going forward.
